About Us:

MobiHealth, located at www.mobihealthinternational.com is a site operated by MobiHealth Ltd. (hereinafter “MobiHealth”, “we” or “us”). We are registered in Nigeria with registration number RC145179 and undergoing registration in other countries. We are a limited liability company.

We operate a platform and an online community that is designed to form a network for doctors and other healthcare professionals and medical service providers (all together “Providers”) to engage, share and learn with the view to improving overall healthcare and wellbeing of people (“Users”) in developing countries by offering video consultations remotely and also connecting them to healthcare services within their locality and beyond. The services offered by MobiHealth include our app (the “App”), the Mobihealthinternational.com website (the "Website"), the MobiHealth Instant Video/SMS Messaging (MHIVSM), the MobiHealth E-mail (MHE), and any other features, content, or applications offered from time to time by us and our partners (“Services”).

(“Providers” and “Users” in this document and those documents referred to in it are all together “Members”)

Terms of Use:

PLEASE READ THEM CARFEULLY BEFORE YOU USE THE SERVICES OR REGISTER AS A MEMBER. IF YOU DO NOT AGREE WITH ALL ITS CONTENTS, YOU SHOULD LEAVE THE WEBSITE AND/OR APP AND DISCONTINUE USE OF THE SERVICES IMMEDIATELY.

These terms of use (“Terms”) govern the use of MobiHealth Services, they serve as our terms of service that seek to manage our relationship with Members and Visitors who interact with MobiHealthcare Limited, as well as MobiHealth brands, products and services such as our App, our Website, online application and similar web-based platform (Services). By using or accessing our Services, you agree to these legally binding Terms.

This page (together with the documents referred to on it) explains the general terms on which you may make use of our Services, whether as a Visitor or as a Member. Members or Visitors are only authorized to use the Services (regardless of whether access or use is intended) if they agree to abide by all applicable laws in the country of access, and to these Terms. This includes such guidelines or policies that permit Providers to offer healthcare services in the country where our Services are accessed or where they are offered.

These Terms include MobiHealth’s policy for acceptable use of the Services and content posted on the Website, Users’ rights, obligations and restrictions regarding your use of the Services, Disclaimer located at (Insert link) and Privacy Policy located at [hyperlink]. In order to participate in certain Services, you may be notified that you are required to download software or content and/or agree to additional terms and conditions. Unless otherwise provided by the additional terms and conditions applicable to the services in which you choose to participate, those additional terms are hereby incorporated into these Terms.

By your continued access to any of our Services, you agree to the terms outlined in this document and specifically agree to the following:

  1. That the information you provide during registration is accurate and that MobiHealth may rely on them.
  2. That the use of the Services may involve electronic communication of your personal health information to Providers who may not be located in your state of residence/area.
  3. That you understand that your personal health information may be shared with others for health-related purposes only and subject to existing legislation.
  4. That you agree to the risks associated with the use of the Services and telemedicine in general.
  5. That you understand that the existing laws of privacy and confidentiality of medical/health information also apply in the use of our Services.
  6. That you have read, and you understand the terms outlined in this document.

We discourage the use of our Services in emergency situations, we strongly advise that your local Provider be contacted in the case of emergency.

MobiHealth is committed to protecting your personal and health related information whilst using our Services; we strive to create safe and pleasant settings for everyone. Our Privacy Policy guides your use of our Services and we encourage you to read this document in order to make informed decisions about using our Services; this can be found at Privacy Policy

Membership Eligibility and Information:

Membership Registration:

If you wish to register as a Member and enjoy access to our Services, you must read these Terms and indicate your acceptance before completing the registration process. Please note that MobiHealth membership, whether by subscription or provided free of charge by MobiHealth, our partners, agents or other parties gives access to doctors, medical consultants and registered healthcare professionals and providers directly/indirectly involved in patient care; research investigators employed by hospitals, clinics, universities and charitable research organizations. Membership Subscription is on an annual basis and Members have the option to renew based on current terms and conditions at the time of renewal.

Membership Fees:

Members agree to pay as a subscription fee, the sum as stipulated by MobiHealth from time to time and we reserve the right to change our fees in our discretion. Members will be notified when there is a change in subscription fees. If we terminate your Membership because you have breached these Terms, you shall not be entitled to the refund of any unused portion of subscription fees. Likewise, if you terminate membership of MobiHealth you shall not be entitled to any refund of your subscription fee.  Membership subscription plan will be activated, and Members will only be able to access any of the charged features for use, 60 days after payment of subscription fee has been cleared.

Available Memberships:

Individuals and organizations including but not restricted to the following groups may only register for membership with the prior written consent of MobiHealth: medical industry companies, their employees and agents; including but not restricted to companies involved in the manufacture of pharmaceuticals, devices, equipment and the provision of such industry services; print, broadcast and online journalists; employees of print, broadcast or online media providers or publishers.

Individual Membership:

Individual Membership is for patients, doctors and registered healthcare professionals. Individual membership may also be provided by MobiHealth for medical industry companies, their employees and agents, including but not restricted to companies involved in the manufacture of pharmaceuticals, devices, equipment and the provision of such industry services; print, broadcast and online journalists; employees of print, broadcast or online media providers or publishers. 

Institutional Membership:

In addition to Individual Memberships, institutions and societies may, subject to prior authorization by MobiHealth also become members of MobiHealth and will enjoy the same benefits and facilities and in addition will be able to promote their services and facilities subject to authorization and payment of a fee. Restrictions on Membership Registration:

Use of and Membership in the Services is void where prohibited. The following are prohibited from the use of the Services:

  1. Persons under 18 (subject to provisions under these Terms)
  2. Persons previously suspended or removed from our Services.

By using the Services, Users represent and warrant that:

  1. All registration information is truthful and accurate,
  2. Members will maintain the accuracy of such information,
  3. Members are 18 years of age or older and
  4. Use of Services does not violate any applicable law or regulation in the Member’s country of residence.

Any profile may be deleted, and Membership terminated without warning, if the User is under 18 years of age. A person below the age of 18 requires consent and authorization from a parent or legal guardian to register as a Member or use our Services and such person may not use our Services without supervision.

The Services are for the personal use of Members only and may not be used in connection with any commercial activities except those that are specifically endorsed or approved by MobiHealth. Unauthorised and/or illegal use of the Services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Website is prohibited.

Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of information, contents images or any part of the Services in any form including edited contents or images. A fee will be levied for unauthorized advertising or promotion without the prior written consent of Mobihealth in line with the industry sponsor fee as varies from time to time, details of which are available at www.mobihealthinternational.com subject to a minimum payment of US$5000.

Password:

When you register to become a Member, you will also be asked to choose your own password. Members are entirely responsible for maintaining the confidentiality of the password and ensuring that other members or third parties do not have access to the account. Members agree not to use the account, username, or password of another Member at any time or to disclose the password to any third party. Members agree to notify MobiHealth immediately if they suspect any unauthorized use of the account or access to the password. Members are solely responsible for any and all use of the account.

Account Safety and Member Behaviour:

MobiHealth strives to create a safe platform for its Members and makes best efforts to deliver this, however we are unable to guarantee it. As such Members agree to behave in secure and appropriate manner in relation to all of our Services, to include, but not limited to the following:

  • Not to bully, threaten, or harass, or otherwise, any Member;
  • Not to post unacceptable or inappropriate content, including content that is intimidating, or pornographic, or provokes violence, or contains nudity;
  • Not to use our Services to do anything unlawful, misrepresentative, hateful, or prejudiced;
  • Not to ask (or otherwise) for login information or access an account belonging to someone else;
  • Not to upload viruses/malicious code;
  • Not to immobilise, overload, or damage the proper working or appearance of our Website, our App and our Services;
  • Not to collect Members' content or information using automated means;
  • Not to post unauthorized commercial communications (e.g. spam or spim) on our App or any of our Services.
  • Not to enable, or incite any violations of these Terms or our Privacy Policy.
  • Not to solicit sex, money, blackmail or any unauthorized activity 
  • Member profiles may not include the following items:
    • any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter,
    • any fake, inaccurate or misleading information.

We reserve the right, in our sole discretion, to reject, refuse to post or remove any posting (including e-mail) by any Member, or to restrict, suspend, or terminate a Member’s access to all or any part of the Services at any time, for any or no reason, with or without prior notice, and without liability. We also reserve the right to exclude Members who misuse their access to the Services, including but not limited to those who abuse or threaten other Members or misuse the Services.

Changing or Deleting Your information, Or Cancelling Your Account

You may review, update, amend or delete your personal information in your Member account by logging into your account. Members may also update medical status to reflect changes that have occurred subsequent to enrolment. Update of medical status to show pre-existing conditions not stated at the time of enrolment attracts a pricing review or a cancellation of the subscription plan without refund depending on the circumstance. Members may terminate Membership at any time, for any reason, by following the instructions on the Member's account settings page. We may terminate your Membership at any time, without warning. Note that even after Membership is terminated, these Terms will remain in effect.

Termination and Temporary Suspension:

MobiHealth will judge, in its discretion, whether there has been a breach of its Terms on the part of our Members. When a breach of these Terms has occurred, we may take such action as deemed appropriate by us.

Failure to comply with the Terms constitutes a material breach of the Terms upon which Members are permitted to use our Services, and may result in MobiHealth taking all or any of the following actions:

  • Immediate, temporary or permanent removal of a Member’s right to use our Services;
  • Immediate, temporary or permanent removal of any posting or material uploaded by a Member to our Services.
  • Issue of a warning to a Member.
  • Legal proceedings against a Member for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
  • Further legal action and/or disclosure of such information to law enforcement authorities, as deemed appropriate.

MobiHealth Software:

By downloading or using our software, such as an App, or a browser plugin, you understand and agree that periodically, the software may need to download and install upgrades, updates and supplementary features in order to advance, improve, and further develop the software. MobiHealth software is the property of MobiHealthcare Ltd and Members are not permitted to modify, create derivative works of, decompile, or otherwise attempt to extract source code from the software, unless as otherwise agreed by MobiHealth in written permission.

You must not misuse our Services by knowingly introducing viruses, trojans, worms, logic bombs or other material, which is technologically harmful. You must not try to gain unauthorized or deceptive access to our Services, the server on which our Website is stored, or any server, computer or database connected to our Website. By contravening the aforementioned, you would commit a criminal offence under the relevant Information Technology misuse laws. MobiHealth will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by divulging your identity to them. In the event of such a breach, your right to use our Services will immediately terminate.

Member Content:

We may delete content that, in our sole judgment, is deemed to violate these Terms or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. MobiHealth assumes no responsibility for monitoring the Services for inappropriate content or conduct. If at any time MobiHealth chooses, in its sole discretion, to monitor the Services, MobiHealth nonetheless assumes no responsibility for the content, no obligation to modify or remove any inappropriate content, and no responsibility for the conduct of the Member submitting any such content.

Member Content that requires consent:

Any content that is loaded by a Provider and that contains a photograph or a movie of a patient, including images of surgery and from scopes will require the patient’s consent to be used on MobiHealth. The Provider is responsible for ensuring that all necessary permissions and authorizations have been obtained for the use of such photographs and movies. For such images, consent may be obtained in writing by the Provider or by using the MobiHealth consent screens.

There is an option to obtain later consent for images that require consent, however such images will not be available for public viewing until such time that consent is confirmed, and will be deleted if consent is not indicated within 24hrs of uploading the image to MobiHealth.

Member Content that does not require consent:

Consent is not required for x-rays, radiology scans, blood results, ECGS and the likes if the images are anonymous with no identifiable patient data. Members must remove all personal and patient identifiers that specifically identify any patient in the content uploaded or descriptions added to the Website and/or App. 

In case discussions, learning modules and other MobiHealth features it is the responsibility of the Provider to provide sufficient clinical information for assessment and discussion without compromising patient confidentiality. In any situation where the Provider is uncertain regarding patient confidentiality, he must exercise caution and contact the Website administrators for advice at admin@mobihealthinternational.com.

Members are responsible to comply with any laws and regulations applicable in the country from which Services are accessed for reproduction or display of personal images, video or other materials.

Members are solely responsible for the content posted on or through any of the Services, and any material or information that they transmit to other Members and for their interactions with other Members. MobiHealth does not endorse and has no control over the content. Content is not necessarily reviewed by MobiHealth prior to posting and does not reflect the opinions or policies of MobiHealth. Furthermore, we make no warranties, express or implied, as to the content or to the accuracy and reliability of the content or any material or information that Members transmit to other Members.

Content/Activity Prohibited:

The following is a partial list of the kind of content that is illegal or prohibited to post on or through our Services. We reserve the right to investigate and take appropriate legal action against anyone who, in MobiHealth's sole discretion, violates this provision, including without limitation, removing the offending communication from the Services and terminating the Subscription of such violators. Prohibited content includes, but not limited to:

  • offensive and racist, bigotry, hatred or physical harm of any kind against any group or individual;
  • using any information obtained from the Services in order to harass, abuse, or harm another person; or using the Services in a manner inconsistent with any and all applicable laws and regulations;
  • contains personal data or information that directly identifies any patient;
  • exploits people in a sexual or violent manner;
  • contains nudity, violence, or offensive subject matter;
  • provides any telephone numbers, street addresses, last names, URLs or email addresses where such information is not permitted by MobiHealth;
  • promotes information that is known to be false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
  • promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufactured-installed copy- protect devices, or providing pirated music or links to pirated music files;
  • involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";
  • contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);
  • furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
  • solicits passwords or personal identifying information for commercial or unlawful purposes from other Members;
  • involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes; or includes a photograph of another person that you have posted without that person's consent;
  • advertising to, or solicitation of any Member to buy or sell any products or services through the Services, excluding those services that are included with the specific prior written consent of MobiHealth and subject to the conditions of use stipulated by MobiHealth. Members may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from the Services in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect Members from such advertising or solicitation, MobiHealth reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which MobiHealth deems appropriate in its sole discretion. If Members breach this Terms and send unsolicited bulk email, instant messages or other unsolicited communications of any kind through the Services, Members acknowledge that they will have caused substantial harm to MobiHealth, but that the amount of such harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, such Members agree to pay MobiHealth £100 for each such unsolicited email or other unsolicited communication they send through the Services;
  • covering or obscuring the banner advertisements on your personal profile page, or within any of Services via HTML/CSS or any other means;
  • any automated use of the system, such as using scripts to add friends or to crawl the site to copy files or images;
  • interfering with, disrupting, or creating an undue burden on the Services or the networks or services connected to the Services;
  • attempting to impersonate another Member or person;
  • using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;
  • selling or otherwise transferring a profile.
  • Conduct in violation of laws in countries where our Services are accessed.

Proprietary Rights in Content in MobiHealth:

By displaying or publishing (posting) on or through the Services, Members hereby grant to MobiHealth, a non-exclusive, fully-paid and royalty-free, worldwide licence (with the right to sub-licence through unlimited levels of sub-licensees) to use, copy, modify, adapt, translate, publicly perform, publicly display, publish, store, reproduce, transmit, and distribute such content on and through the Services.

Users represent and warrant that:

  • Members own the content posted on or through the Services or otherwise have the right to grant the license set forth in this section,
  • the posting of content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person, and
  • Members agree to pay for all royalties, fees, and any other monies owing any person by reason of any content posted to or through the Services.

Intellectual Property Rights:

The content Services are protected under the copyright and other related laws of the Federal Government of Nigeria and other countries wherein our Services are accessed. All copyrights in the Services are owned by us or our third-party licensors to the full extent permitted under the relevant copyright laws and all international copyright laws. You may not publish, reproduce, distribute, display, perform, edit, adapt, modify, or otherwise exploit any part of the Services without our written consent.

All rights in the product names, company names, trade names, logos, service marks, trade dress, slogans, product packaging, and designs of the Services, whether or not appearing in large print or with the trademark symbol, belong exclusively to MobiHealth or its licensors and are protected from reproduction, imitation, dilution, or confusing or misleading uses under national and international trademark and copyright laws. The use or misuse of these trademarks or any materials, except as authorized herein, is expressly prohibited, and nothing stated or implied on the Services confers on you any license or right under any patent or trademark of MobiHealth, its affiliates, or any third party.

Individual Membership permits the Member to view MobiHealth Content, educational material and live transmissions. Users are prohibited from public broadcast, projection or display of any such MobiHealth Content or material without the specific prior written authorization of MobiHealth. Individual Membership and access codes may entitle the Member from time to time to view live or restricted material. Users are prohibited from public broadcast, projection or display of any such MobiHealth content or material without the specific prior written authorization of MobiHealth.

The Services contain content of Users and other MobiHealth licensors. Except for content posted by a User and subject to these Terms, that User may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any content appearing on or through the Services.

MobiHealth and our authorized agents and partners reserve the right to provide Members with free subscription on sites operated by MobiHealth, our agents, our partners, and other member companies of the MobiHealth Directors’ group albeit with the rights of the Member to unsubscribe from such services at any time. This includes the social network sites, as well as professional medical or doctors’ networks.

Copyright Policy:

It is the policy of MobiHealth to terminate Membership privileges of any Member who infringes the copyright rights of others upon receipt of prompt notification to MobiHealth by the copyright owner or the copyright owner's legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted on the Services in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.
  • a description of the copyrighted work that you claim has been infringed.
  • a description of where the material that you claim is infringing is located on the Website.
  • your address, telephone number, and email address.
  • a written statement by you that you have a good faith belief that the disputed use is not authorized by the
  • a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Indemnification:

Users agree that we may rely on a User’s Registration Data as accurate, current and complete. Users acknowledge that if any of their Member profile is considered to be untrue, inaccurate, not current or incomplete in any respect by us then we reserve the right to terminate their membership and use of our Services and seek suitable recompense for any liability incurred by MobiHealth, Users or any third party. MobiHealth assumes no responsibility or liability for any material/goods/products made available on its Services by any Member. If Members become aware of misuse of the Services by any person or organization, they should contact us immediately at compliance@mobihealthinternational.com or click the ‘help or customer service’ link at the bottom of our page.

Disclaimer/Limitation:

Our Services are accessed at Members’ or Visitors’ risk. We advise that you carefully review Mobihealth’s Disclaimer which can be found at (INSERT LINK TO DISCLAIMER) before using our Services.

Applicable Laws and Disputes:

The courts in our countries of operation will have exclusive jurisdiction over any claim arising from, or related to, our Services, although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of [State].

Members agree to indemnify and hold MobiHealth, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of use of the Services in violation of these Terms and/or arising from a breach of these Terms and/or any breach of representations and warranties set forth above and/or if any content that Members post on the Website or through the Services causes MobiHealth to be liable to another.

MobiHealth is neither liable for any distasteful, unsuitable, indecent, illegal nor otherwise unacceptable content or information that be made available through its Services, nor is it responsible for the conduct, of any Members of MobiHealth or otherwise.

Miscellaneous:

We may amend these terms in the future. In the event changes are made, we will be sure to post changes at the Site and at other places we deem appropriate. Members are advised to check for updates regularly as members are bund by the actions taken after terms are updated.

Note that MobiHealth excludes liability for actions taken in response to breaches of these acceptable use provisions. The responses described herein are not limited, and we may take any other action we reasonably deem appropriate.

Our failure to enforce any provisions of these Terms or respond to a violation by any party does not waive our right to subsequently enforce any terms or conditions of the Terms or respond to any violations. Nothing contained in these Terms is in derogation of our right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Services or information provided to or gathered by us with respect to such use.

These Terms shall remain in full force and effect while the Services are used or while membership subscription subsists.


SUBSCRIBER AGREEMENT

This Agreement is made at ___________ this ____________ day of _____________ 2020.

BETWEEN

MobiHealthcare Limited, a company incorporated under the laws of Nigeria with registraTion number RC1451579, (herein referred to as “Company”), which expression, unless it be repugnant to the context or meaning thereof, shall deem to mean and its successors and assigns of ONE PART .

AND

Subscriber having permanent address at Address (hereinafter referred to as Subscriber and/or client), which expression, unless it be repugnant to the context or meaning thereof, be deemed to mean and include his legal heirs and assigns of the OTHER PART .


WHEREAS the Company provides Tele-medicines and Online Healthcare related services to its beneficiaries and Subscribers and for these purposes the Company has created a network of service providers including Doctors, Medical Test Centers, Laboratories and other affiliates and pursuant to this understanding.


AND WHEREAS the Subscriber wants to avail the services of the Company on the said network of the Company covered under such subscription service plan of the Company on the agreed terms and conditions.


Now this agreement witnessed that:

  1. The Parties hereby agree that the effective date of the Agreement shall be the date on which this Agreement is signed.
  2. The duration of this contract shall be a minimum of twelve (12) months for all subscription plans except for Pay as You Go (PAYG). In PAYG Model, the account will remain active for 30 days after consultation, after 30 days the account will become dormant.
  3. The Subscriber agrees that he must be resident in any of the African countries where the Company is operational to use the services provided by the Company.
  4. The Subscriber shall purchase subscription plans from various types of subscription plans available with the Company on its website/portal and at prevailing exchange rate on the date of payment. The subscription plan shall cover only service delivery in the African countries where the Company is operational.
  5. The Subscriber agrees to sign on to a minimum of twelve (12) months contract and pay an annual subscription fee in full or by instalments as offered by the company.
  6. The Subscriber agrees to company’s schedule of release of allowances to as deemed fit by the company until such a time as Subscriber has paid in full.
  7. Subscriber agrees that the company reserves the right to deny access to the portal and use of services if the subscribe is in default. The Subscriber shall nevertheless remain liable for the balance of the total annual subscription fee.
  8. Clause 7 above notwithstanding Subscriber agrees to be individually or collectively (with employer) severally liable to pay the full outstanding subscription fee and any associated costs associated with non-payment or recovery of the subscription fee.
  9. The Company agrees to refund the fees paid for any subscription plan purchased in an African country where it is not operational. The refund shall be less than the application transaction and applicable bank charges.
  10. Subscriber agrees that except for clause 9 above all subscription fees paid are non-refundable.
  11. The Subscriber agrees that he shall have access to only the features available under the purchased subscription plan unless the Company, at any time and for any reason wishes to extend the number of features accessed per subscription plan.
  12. Regardless of clause 1 above, the subscriber agrees to a minimum of 30 days wait time from the date of cleared funds upon payment of subscription plan, before the activation of subscription features.
  13. Further to Clause 11 above, the Subscriber agrees to a waiting period of not less than 30 days before he/she/they will start the use of the services provided by company.
  14. Notwithstanding the clauses 1, 5, 6, 7 and 12 above, Subscriber agrees to wait until the company's number of subscribers reaches 1000 (one thousand) before being able to use full scale services, only video consultation, routine blood tests and routine radiology will be provided during this time. The company shall not be liable for cost incurred during hospital treatments. This is to allow the company build minimum number required to deliver a viable business model. The customer shall however be entitled to their allowance once the minimum subscription level of 1000 is reached.
  15. During the waiting period, the Company shall not be liable to the Subscriber/ Subscriber for inability to avail services through the platform or her partners. Subscriber agrees to seek medical help as deemed fit without liability to the Company.
  16. During the waiting period, Subscriber agrees to inform Company within not less than 48 hours of any change in health condition that may have implication on responses/information given during registration with Company.
  17. The Agreement will be valid as long as the subscription plan for the Subscriber remains in currency with the Company and on expiry or termination of the Subscription plan, this Agreement shall automatically come to an end.
  18. The Subscriber agrees that the purchased subscription plans covers only pre-existing medical conditions stated by patient/enrollee at enrolment. The Company must be notified of any medical conditions discovered after registration and purchase of a subscription plan. However, chronic pre-existing medical conditions are subject to special billing system drawn up by the Company. Subscribers agree to notify the Company of such medical condition for applicable quote.
  19. Purchased subscription plans DO NOT cover the cost of overseas transfer and treatment. Subscriber agrees to make additional payments in the event the need for overseas treatment arises and subject to separate agreement between parties. The Company is not obliged to provide or arrange such overseas treatment regardless.
  20. The Subscriber shall provide complete, accurate, and correct information, symptoms and details to the Company and the Service Provider including the Doctor, Consultant and Medical facility provider. If it is found out that the Subscriber did not disclose complete accurate, and correct information, symptoms and details to the Company and the Service Provider including the Doctor, Consultant and Medical facility provider, then this Agreement shall automatically come to an end without any refund and the subscription package of the Subscriber shall also be forfeited with no liability or claim against the Company.
  21. The Subscriber will access full support and medical opinion/prescription/diagnosis/treatment and such related medical facilities on the platforms provided by the Company provided subscriber is up to date with their payment.
  22. The Company shall endeavor to make available on the platform a wide range of Service and Medical Facility Providers from which the Subscriber may choose.
  23. The Agreement is subject to the detailed schedule of services provided by the Company. The Subscriber agrees not to seek the services of the Company in emergency situations and accepts full responsibility in the event Subscriber does otherwise.
  24. The Subscriber shall first conduct the consultation with the Service Providers of the Company online through the online mobile or web services facilities provided by the Company and it is understood that the Subscriber shall not be provided any services in any other manner.
  25. Further to clause 22 above, should Subscriber choose to independently seek medical care without availing the use of the portal and/or not referred by a doctor working on and for the Company, the subscriber agrees that they shall bear the cost of such consultation and treatment. The Company shall not be liable and shall not offer any reimbursement or pay any third party on behalf of the subscriber for such services.
  26. The Company is only a medium on which the Subscriber will be made to connect with Service provider including Doctor or Consultant and the treatment shall be done by such Service Provider. The Company shall not interfere in the treatment and medical care provided to the Subscriber. The Company will not be in any way held responsible for the outcome of treatment or quality of care provided by the Service provider.
  27. The Company shall not be liable or responsible for any acts of omission or commission of the Service Provider including the Doctors or Consultant and other medical staff of the Service Provider.
  28. The Company shall reserve the right to terminate this Agreement without notice if the Subscriber violates any of the terms and conditions of this Agreement or if the Company comes to the knowledge of wrong and fraudulent practices by the Subscriber.
  29. The Subscriber shall have the right to have a second opinion from any other doctor or service provider and such second opinion shall have no effect, liability or claim over the treatment given by the Service Provider of the Company.
  30. The Subscriber agrees that the Company shall not be responsible in any manner for the services or advice provided by the Service Providers.
  31. The Subscriber must have good/fast and secure Internet connection and data protected hardware for usage of the service of the Company. A minimum of 3G internet network and compatible Android/IOS smartphone/laptop or similar device.
  32. In case of any dispute between the Company and the Subscriber, the maximum compensation awarded to the Subscriber shall not be more than the price of the subscription package purchased by the Subscriber in any manner. Also, In the event that Subscriber is unable to use our services due to technical problems with the platform, Subscriber agrees to seek alternative avenues to get medical help. In this instance no compensation shall be ever more than the annual subscription fee pro-rated.
  33. The Subscriber shall maintain complete privacy and confidentiality on the conditions in this Agreement and the services availed by the Company other than for sharing of the information for the purpose of treatment.
  34. Disputes / Claim arising out of this Agreement are subject to the laws of the [State].
  35. The Subscriber understands that he may require medications, examinations, diagnostic procedures or other treatments in connection with his condition. He further understands that the Service Provider may use for diagnostic, education, quality improvement, scientific or certain research purposes or may otherwise dispose of, tissue and biologic fluids such as blood and urine, removed during such procedures and therefore consents to the performance of such examinations, treatments, and procedures, as appropriate personnel deem necessary or advisable. The Subscriber agrees to the use by the Service Provider to the extent permitted by the applicable laws in the Nigeria.
  36. In case of any dispute or differences arising out of this Agreement, each party may as soon as practicable give to other party notice in writing of the existence of such questions or disputes specifying its nature and the point of issue. If the parties cannot resolve the matters by mutually acceptable solutions within 15 (fifteen) business days, the said dispute or difference shall be referred to and settled by arbitration under the provisions of the applicable Arbitration & Conciliation law applicable in the [State] or any reenactments or modifications thereof.
  37. The Subscriber acknowledges that no guarantees have been made to him as to the results of treatments or examinations by the Company.
  38. Any amendments in the clauses of the Agreement can be effected as an addendum, after the written approval from both parties.
